Terms & Conditions
Last updated: 22 October 2026
1. About these terms
These Terms & Conditions ("Terms") govern quotes, proposals, projects and ongoing services (website design, development, e-commerce, branding, hosting and related work) provided by ZyroBit Digital ("we", "us", "our") to a client ("you", "your"). By accepting a quote, paying a deposit, or instructing us to begin work, you agree to these Terms. These Terms are governed by the laws of the Republic of South Africa, including, where applicable, the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002.
2. Quotes and scope
- Quotes are based on the information and requirements you give us at the time, and are valid for 30 days unless stated otherwise.
- The agreed scope, deliverables and price are set out in a written quote, proposal or invoice. Work outside that scope ("out-of-scope work") is quoted and billed separately.
- Reasonable minor revisions during the build are included; repeated large-scale changes of direction after work has started may be billed as out-of-scope.
3. Deposits and payment
- Most projects require a 50% deposit before work begins, with the balance due before final handover or launch, unless a different arrangement is agreed in writing.
- Payment can be made via PayFast, Stripe, or EFT, as agreed for your project.
- Deposits are non-refundable once work has commenced, except where required by law. If a project is cancelled partway through, fees for work already completed remain payable.
- We may pause work on overdue invoices until payment is received.
4. Timelines and your responsibilities
Simple sites typically take about 1–2 weeks; larger builds with custom features, dashboards or e-commerce usually take 3–8+ weeks, depending on scope. Timelines are estimates, not guarantees, and depend on you providing content, feedback, approvals and access (e.g. domain/hosting logins) promptly. A delay on your side may delay delivery accordingly.
5. Hosting, domains and third-party costs
We can arrange hosting, domain registration, SSL and email DNS for you, or deploy to hosting you already have. Unless your package explicitly includes them, domain registration/renewal fees, hosting fees, third-party plugin or app licences, stock imagery licences, and payment-gateway transaction fees are your responsibility. Ongoing hosting and maintenance are available as separate monthly plans; cancelling a hosting or maintenance plan does not cancel ownership of work already delivered to you.
6. Intellectual property
- Ownership of the final, agreed deliverables (the website/app/design files specific to your project) transfers to you once you've paid in full.
- We retain ownership of our own pre-existing tools, frameworks, boilerplate code and general know-how used to build your project, and may reuse non-client-specific components in future work.
- Unless you tell us otherwise in writing, we may showcase completed work (screenshots, descriptions, and a link) in our portfolio and marketing, as we do on our Projects page.
- You confirm you have the right to use any content, images, logos or trademarks you supply to us, and you indemnify us against claims arising from content you provided.
7. Warranties and limitation of liability
- We'll carry out services with reasonable skill and care. Beyond that, services and deliverables are provided "as is", and we don't guarantee specific outcomes such as search rankings, traffic or sales.
- To the maximum extent permitted by law, our total liability for any claim arising from a project is limited to the amount you paid us for that project, and we are not liable for indirect, incidental or consequential loss.
- Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any rights you have under the Consumer Protection Act where it applies to you.
8. Cancellation and termination
Either party may end an engagement in writing. If you cancel after work has started, the deposit is retained and any additional work completed up to the point of cancellation is invoiced at our standard rates. We may suspend or end an engagement if invoices remain unpaid after reasonable notice, or if we're asked to build something unlawful or that materially misrepresents a product or service.
9. Confidentiality
We'll treat non-public information you share with us about your business as confidential, and use it only to deliver your project, unless you agree otherwise or disclosure is required by law.
10. Changes to these terms
We may update these Terms from time to time; the version in force for an existing project is the one in place when that project's quote was accepted, unless we agree a change in writing.
11. Governing law and disputes
These Terms are governed by the laws of South Africa. Before resorting to litigation, both parties agree to first try to resolve any dispute through good-faith discussion. Subject to that, the courts of South Africa have jurisdiction over any dispute arising from these Terms.
